L&T Technology Services (LTTS) has agreed to sell its Smart World and Communication (SWC) business to AMI Paradigm Solutions for INR 452 crore in a slump sale. The divestment is part of LTTS's strategic five year plan to focus on AI driven digital engineering and Engineering Intelligence services. The SWC unit, which generated over INR 1,000 crore in revenue last fiscal, provides smart infrastructure and technology solutions in India and abroad. The deal, expected to close by late September, will allow LTTS to reallocate resources to higher-growth technology segments while enabling AMI Paradigm to expand its AI capabilities.
L&T Technology Services (LTTS) has decided to sell its Smart World and Communication (SWC) business to AMI Paradigm Solutions for INR 452 crore. The deal is structured as a slump sale and forms part of LTTS's new five year strategy to concentrate on artificial intelligence (AI) led digital engineering and Engineering Intelligence (EI) services.
Company officials explained that the divestment is aimed at focusing resources and investments on core segments such as mobility, sustainability, AI, and advanced engineering services. LTTS has been reshaping its portfolio over the past few years to better address high-value, technology-driven projects.
The SWC business has been an important part of LTTS's operations, contributing revenue of around INR 1,027.95 crore in the last fiscal year, roughly 10% of the company's overall turnover. It operates both domestically and internationally, delivering solutions in smart cities, intelligent transport, security and surveillance, and other advanced infrastructure projects. The unit employs a significant number of professionals, and the management has indicated that employee continuity will be maintained post-sale.
AMI Paradigm Solutions, the acquiring entity, is a special purpose vehicle backed by partners including Greenko Group founders, ParadigmIT Technology Services, and AM Intelligence Labs. AMI Paradigm intends to leverage the SWC capabilities to strengthen AI applications in public systems and mission-critical infrastructure, complementing its existing technology portfolio.
LTTS's leadership highlighted that the sale aligns with its strategic goal of prioritizing high-growth, technology-intensive services. By transferring the SWC unit, LTTS can concentrate on AI, digital engineering, software solutions, and advanced manufacturing while continuing to innovate in high-value segments. The deal is expected to conclude by late September, subject to customary regulatory approvals and closing conditions.
The divestment also allows LTTS to reallocate capital to emerging areas, while AMI Paradigm can further develop integrated smart solutions using AI, ensuring that the SWC business continues to grow under focused ownership. This transaction demonstrates how companies are reshaping portfolios to match evolving market demands for specialized technology solutions.
