Warburg Pincus to acquire stake in Fleur Hotels under Lemon Tree reorganisation

Lemon Tree Hotels has approved a major restructuring plan that includes Warburg Pincus acquiring a 41.09 per cent stake in subsidiary Fleur Hotels and committing up to INR 960 crore in fresh investment. The move aims to create two focused hospitality platforms an asset-light hotel management company under Lemon Tree and a dedicated hotel ownership and development arm under Fleur. As part of the reorganisation, hotel assets will be transferred to Fleur, which will be listed separately on stock exchanges. Fleur's owned portfolio will expand significantly, while Lemon Tree will focus on management, branding, and digital growth. The restructuring is expected to unlock long-term value and support expansion amid rising demand across India's hospitality and tourism-driven real estate markets.

Lemon Tree Hotels has approved a strategic reorganisation that includes the acquisition of a 41.09 per cent stake in its subsidiary Fleur Hotels by Warburg Pincus and a fresh investment of up to INR 960 crore to support future growth.


According to a regulatory filing, the stake will be acquired from APG Strategic Real Estate Pool NV by Coastal Cedar Investment BV, an affiliate of Warburg Pincus. The board of Lemon Tree Hotels has approved the execution of a share purchase agreement to enable the transaction. In addition, the board has cleared a primary investment of up to INR 960 crore by Warburg Pincus, to be infused in tranches.

The investment will support the expansion of Fleur Hotels, which is proposed to be listed separately on the stock exchanges. Lemon Tree said the transaction and group reorganisation are aimed at unlocking long-term value by creating two focused and scalable hospitality platforms.

Under the proposed structure, Lemon Tree Hotels Limited will operate as a pure-play, asset-light hotel management and brand platform. Fleur Hotels Limited will function as the group's hotel ownership and development arm, with a dedicated pipeline for acquisitions and new projects. Both boards have approved a composite scheme of arrangement to simplify the group structure and sharpen strategic focus. The scheme is subject to regulatory and shareholder approvals.

As part of the reorganisation, hotel assets currently owned by Lemon Tree will be transferred to Fleur, which will become the group's exclusive vehicle for asset ownership and development. Lemon Tree will transition fully to an asset-light model, concentrating on hotel management, franchising, and digital initiatives.

The scheme also includes the merger of two wholly owned subsidiaries of Lemon Tree Carnation Hotels and Hamstede Living into the parent company. Four other subsidiaries, Oriole Dr. Fresh, Sukhsagar Complexes, Manakin Resorts, and Canary Hotels, will be merged with Fleur. In exchange, Fleur will issue shares to Lemon Tree.

Additionally, 12 hotels owned by Lemon Tree, comprising 11 operational properties and one under-construction hotel in Shimla, will be demerged into Fleur. Investments in an under-construction hotel in Shillong, held through a wholly owned subsidiary, will also be transferred. Following the restructuring, Fleur's shares will be listed on the NSE and BSE, with the entire process expected to be completed within 12 to 15 months.

Post-transaction, Fleur will emerge as one of India's largest hospitality asset owners. Its owned portfolio will expand from 3,993 keys across 24 operational hotels to 5,813 keys across 41 hotels. Lemon Tree will continue to manage these hotels, in addition to operating its existing leased properties in Indore and Aurangabad, which are nearing the end of their lease terms.

Patanjali Govind Keswani, Founder of Lemon Tree Hotels, will serve as Executive Chairman of Fleur Hotels and later transition to a non-executive role at Lemon Tree. The investment marks a renewed partnership with Warburg Pincus, which had backed Lemon Tree during its early growth phase in 2006.

The restructuring is expected to strengthen Lemon Tree's capital efficiency while positioning Fleur as a large-scale platform for hotel asset ownership and development, aligning with rising demand across India's hospitality and real estate-linked tourism sectors.
